A bilateral agreement (regarding the transportation of materials, and the installation of gas, water, and electricity meters)

On one side, LLC "Next White" (VAT number: 445539855) (hereinafter referred to as "Party 1"), and on the other side, the individual LUIS FERNANDO SCHULTZ XAVIER DA SILVEIRA (passport number: FO169569) (hereinafter referred to as "Party 2"), collectively referred to as "the Parties," acting in accordance with the current legislation of Georgia, enter into the following agreement:

1. Subject of the Agreement

1.1. According to this agreement, the parties confirm that LUIS FERNANDO SCHULTZ XAVIER DA SILVEIRA are the owners of a non-agricultural land plot of 1705 sq.m. located at 27 Inasaridze Street, Batumi (Cadastral code: 05.31.12.050), on which a multi-story, multi-functional residential building is situated. The property in question is an apartment located on the 16th floor of the building, identified as Apartment №11 and №12.

1.2. The parties agree that Party 1 will carry out the transportation of the necessary construction materials, required inventory, furniture, and equipment to the specific floor of the apartment owned by Party 2, using the elevator. Additionally, Party 1 will be responsible for the removal of waste from the apartment (the waste should be pre-collected and placed at the apartment door).

1.3. Based on point 1.2 of this agreement, Party 2 is obligated to pay Party 1 an additional amount of 2028 USD (equivalent in GEL), which must be fully paid by Party 2 no later than February 28, 2025. Otherwise, the additional agreement will lose its legal force.

1.4. The parties also agree that Party 1 will install gas, water, and electricity meters in the apartment owned by Party 2 and will carry out the relevant subscriber registration. For this service, Party 2 is obligated to pay Party 1 an additional amount of 2400 GEL by February 28, 2025. Otherwise, the additional agreement will lose its legal force.

1.5. The parties agree that the final deadline for providing the service of delivering construction materials to the apartment is April 30, 2025.

1.6. The parties confirm that the agreement does not contain any ambiguities and represents the result of the mutual free will of both parties.

1.7. The terms (points) of the contract that have not been modified by this agreement remain unchanged and retain their legal force.
